Compensation
The Exchange’s
chairman currently receives compensation of $100,000 per year.
The Exchange’s public directors receive a stipend of
$1,000 for each quarter that they serve on the Board, along
with $2,000 for each Board meeting that they attend. Public
directors also receive $500 for each committee meeting that
they attend ($600, if the director chairs the committee).
Participant directors do not receive a quarterly stipend
and receive only $800 for each Board meeting that they attend.
Participant directors do not receive compensation for committee
service. Participant directors that are representatives of
holders of Series A Preferred Stock do not receive any compensation
for Board service.
The Exchange pays reasonable travel costs associated with
director attendance at Board and committee meetings.
